Sara Schwartz will present the webinar "Good Governance During the COVID-19 Crisis" on Wednesday, April 1, from 1:00 p.m. to 2:30 p.m., as a part of the Yale Alumni Nonprofit Alliance ("YANA") webinar series. The webinar is free, and open to all.

The Role Of Leadership In A Crisis, Fiduciary Duties, And Board Composition

As a follow up to last year's webinar, which explored the essential legal documents for non-profit Boards, this year's webinar will focus on the Board members themselves, and how they can work effectively - both individually and collectively - to support the mission of their organization within the legal structure of the non-profit corporation, and especially in a crisis. Topics will include the role of Board members, fiduciary duties, Board composition, committees and conflicts of interest.

This expanded, interactive program will also address the key issues facing non-profits in the COVID-19 outbreak, such as: whether Bylaws allow for remote meetings and votes; succession planning for leadership; financially supporting your organization during closure, including advancement considerations, access to the endowment, and whether the new federal laws offer meaningful financial assistance; the impact of new federal and state employment laws; the importance of focused and confident leadership during this crisis; and sharing and obtaining information with your community.

Sara Goldsmith Schwartz, Yale College '87, is the Founder and President of Schwartz Hannum PC, a certified woman-owned law firm based in Andover, MA. Sara graduated from Concord Academy, and is a cum laude graduate of both Yale College and Harvard Law School. She began her legal career at the law firm of Ropes & Gray in Boston, after completing a federal court clerkship with The Honorable William Young in Boston. Sara founded the Firm in 1995. Schwartz Hannum PC now has 14 attorneys. Sara serves as a trusted advisor to hundreds of non-profit entities, including independent schools, colleges, hospitals, museums, and social services agencies. Using real-life hypotheticals, and drawing on her nearly 30 years of legal experience, Sara will guide participants through the significant responsibilities that Board Members have in ensuring that an organization's Board operates in compliance with legal requirements and best practices.
